The following independent services, complementary to those typically performed by an investment banker or sell-side advisor, provide the seller with objective guidance in preparation for a market offering.

 

  • Seller/Investee Preparedness: Perform high level due diligence analysis, leveraging our extensive buy-side experience, to assess the company’s financial reporting and accounting records and procedures in order to help the transaction run more smoothly.
  • Assessment of company’s historical recurring operating cash flows, commonly referred to as a “Quality of Earnings” analysis.  This analysis provides an objective view to reinforce the sell-side advisor’s and/or the board of directors’ expectations before going to market.
  • Assist management or sell-side advisor with preparation and maintenance of transaction data requests and data rooms.
